These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and PLACEHOLDER Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of our website, mobile applications, and any related services (collectively, the "Platform") for participating in skill-based contests and tournaments (the "Contests"). The Platform enables users to compete in skill-based games for real-money prizes, where outcomes are determined predominantly by skill rather than chance.

By accessing or using the Platform, registering an account, participating in any Contests, or clicking to accept these Terms, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (incorporated herein by reference), our Contest Rules (incorporated herein by reference and available at Contest Rules), our Responsible Gaming Policy (incorporated herein by reference and available at Responsible Gaming Policy), and any other policies or rules posted on the Platform (collectively, the "Agreement"). If you do not agree to the Agreement, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and, where required by law, by email or in-app notification. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cease using the Platform and may request withdrawal of any eligible funds in accordance with Section 6.

1. Eligibility and Representations

1.1 Age and Capacity

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into binding contracts. By using the Platform, you represent and warrant that you meet these requirements. We do not knowingly collect information from or allow participation by individuals under 18. If we discover a user under 18, we will terminate the account and delete associated data.

1.2 Location Restrictions

Access to real-money Contests is restricted to users physically located in jurisdictions where such activities are permitted by law. You represent and warrant that you are not located in or a resident of a prohibited jurisdiction. Prohibited U.S. states include: Arizona, Arkansas, Connecticut, Delaware, Louisiana, Maryland, Montana, South Carolina, South Dakota, Tennessee, and Vermont (the "Prohibited States"). We use geolocation technology to verify your location and may block access from Prohibited States or any other restricted jurisdictions. You must not use VPNs, proxies, or any other means to circumvent location restrictions; doing so is a material breach and will result in immediate account termination and forfeiture of all funds.

1.3 International Users

Users outside the U.S. may access the Platform if permitted by local laws. However, real-money Contests may not be available in all countries. You are solely responsible for complying with your local laws and regulations. If unsure, you should consult local authorities or legal counsel before participating. We disclaim any liability for your non-compliance with local laws. Participation from jurisdictions subject to U.S. sanctions (e.g., Cuba, Iran, North Korea, Syria, Russia, or regions like Crimea) is strictly prohibited.

1.4 Additional Representations

You represent and warrant that: (a) all information you provide is true, accurate, current, and complete; (b) you will maintain and promptly update such information; (c) you are not a professional gambler or participating on behalf of one; (d) you are not an employee, officer, director, or immediate family member of the Company or its affiliates; (e) you have not been previously banned or restricted from the Platform; and (f) your use of the Platform does not violate any applicable laws or third-party rights.

1.5 Verification

We may require proof of eligibility at any time, including government-issued ID, proof of address, or other documentation. Failure to provide satisfactory verification may result in suspension, termination, or denial of access, with forfeiture of any funds.

2. Account Registration and Security

2.1 Registration

To participate in Contests, you must create an account ("Account") by providing accurate information, including your full name, email address, phone number, date of birth, and payment details. You may link your Account to third-party services (e.g., Apple, Google, Facebook), in which case we may collect information from those services as permitted by their terms and your settings.

2.2 Single Account Policy

You may have only one Account. Creating multiple Accounts is prohibited and will result in termination of all Accounts and forfeiture of funds. Accounts are non-transferable and may not be sold, rented, or shared.

2.3 Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. You must notify us immediately of any unauthorized use or security breach at support@PLACEHOLDER.com. We are not liable for losses resulting from unauthorized access due to your failure to secure your Account.

2.4 Suspension and Termination

We may suspend or terminate your Account at any time, with or without notice, for any reason, including suspected violations of these Terms, fraud, or legal requirements. Upon termination, you forfeit any remaining funds (subject to applicable law), and we may retain data as required for legal or security purposes.

3. Contest Rules and Participation

3.1 Skill-Based

All Contests are skill-based, where outcomes depend predominantly on player skill (e.g. strategy, tactics, reflexes, judgement, knowledge) rather than chance.

3.2 Skill-Based Competition

Contests are competitive games of skill that may offer real prizes awarded on the basis of player performance. Contests are not games of chance, lotteries, wagering, or gambling, and entry fees are not bets or wagers. You should participate as skill-based competition and not as a form of investment or income.

3.3 Fair play

We use anti-cheating measures, including gameplay recording, device checks, and algorithms to ensure fairness. No bots, rigged matches, or progression advantages are used. Detailed Contest rules, including game mechanics, entry fees, prize distributions, and scoring, are provided in the Platform and incorporated herein as the "Contest Rules."

3.4 Contest types

We offer a range of different contests, the rules for each is detailed in the specific Contest Rules. Underlying games may be used in multiple different contests with varying game configurations and prizes. Each contest will have its own set of rules, entry fees, and prize structures as outlined in the Contest Rules.

3.5 Entry and Fees

To enter a Contest, you must pay the specified entry fee. Entry fees are funded from your Entry Credits (see Section 6.5) first and, where your Entry Credits are insufficient to cover the fee, from your withdrawable Winnings. Prizes are awarded based on performance and distributed to winners' Accounts.

Where an entry fee is funded from more than one source, it is applied as an ordered debit: your Entry Credits are used first, and your Winnings balance is only drawn upon if your Entry Credits are insufficient to cover the entry fee. Funding an entry from Winnings is one-way and irreversible: once Winnings are committed to a Contest entry they are spent as an entry fee and cannot be withdrawn. Entry Credits can never be converted into, or withdrawn as, Winnings or other withdrawable funds.

Entry fees are non-refundable except as required by law or as specified in Section 3.7.

3.6 Prizes and Winnings

Winnings are credited to your Account and may be withdrawn subject to Section 6. Prizes have no cash value outside the Platform and cannot be transferred or sold. You are responsible for all taxes on Winnings; see Section 6.7.

3.7 Practice Mode

Free practice modes may be available for some contests.

3.8 Fair Play

You must compete in good faith. Intentional losing, collusion, or any form of manipulation is prohibited and will result in disqualification, forfeiture, and account termination.

3.9 Internet connectivity

A fast and consistent internet connection is required for contest participation. It's your responsibility to ensure your connection is good enough to participate. We are not liable for any losses due to connectivity issues including disconnections, lag, or latency.

3.10 Malfunctions

Malfunction voids all plays and pays. We also reserve the right to void plays and contests outcomes at our discretion. We may take corrective actions such as refunds or replays and may also suspend or terminate accounts engaging in behavior that exploits malfunctions.

3.11 Disclaimers

We strive for uninterrupted service and fair outcomes. Contests may be canceled or modified due to technical issues, fraud, or force majeure. In such cases we are not liable for any losses but entry fees may be refunded at our discretion. See section 7 for further information.

4. User Conduct

4.1 Prohibited Conduct

You agree not to:

  • (a) violate any laws or these Terms;
  • (b) use cheats, bots, hacks, exploits, or unauthorized software;
  • (c) create multiple Accounts or share Accounts;
  • (d) misrepresent your identity, location, or skill level;
  • (e) harass, threaten, or abuse other users or our staff;
  • (f) engage in fraudulent transactions or money laundering;
  • (g) reverse engineer, decompile, or modify the Platform;
  • (h) interfere with the Platform's operation or security;
  • (i) post spam, viruses, or harmful content;
  • (j) sell, transfer, or monetize Accounts or virtual items outside the Platform; or
  • (k) encourage or assist others in prohibited conduct.

4.2 Consequences

Violations may result in immediate suspension, termination, forfeiture of funds, disqualification from Contests, and legal action. We may report violations to authorities.

5. Intellectual Property

5.1 Ownership

The Platform, including all software, content, trademarks, and designs, is owned by us or our licensors and protected by intellectual property laws. You are granted a limited, revocable, non-exclusive license to use the Platform for personal, non-commercial purposes.

5.2 User Content

Any content you submit (e.g., profile pictures, chat messages) grants us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute it for any purpose, including marketing.

6. Purchases and Withdrawals

6.1 Purchases

You may purchase Entry Credits using the available payment methods. See Section 6.5 for details on Entry Credits. Purchases are non-refundable except as required by law. We may set minimum/maximum purchase limits.

6.2 Withdrawals

Eligible winnings (see 6.5.4), may be withdrawn to verified payment methods after meeting minimum thresholds (e.g., $20) and verification requirements. We aim to process Withdrawals within 1 day but they may take up to 15 business days. If the withdrawal method specified is subject to fees this will be displayed at the time of withdrawal request. We may withhold withdrawals for investigations or legal reasons.

You are solely responsible for reporting and paying any applicable taxes on winnings, whether withdrawn or not. Withdrawals are final and irreversible; you bear full responsibility for entering accurate payment details, and we shall have no liability for errors in such information. You may link only one payment method per account for withdrawals; use of multiple methods may result in account termination. We reserve the right to review, delay, withhold, or deny any withdrawal request in our sole discretion, including for reasons such as suspected fraud, money laundering, disputes, legal obligations, or any other compliance or security investigations.

6.2.1 KYC Verification

We may, at our sole discretion and as required by applicable laws (including anti-money laundering regulations), perform Know Your Customer (KYC) checks or additional identity verification after you request a withdrawal. This may include requiring you to provide further documentation, such as government-issued identification, proof of address, source of funds, or other information. Withdrawals will not be processed until such verification is satisfactorily completed. Failure to provide requested information within a reasonable timeframe (as specified in our request) may result in denial of the withdrawal, suspension of your Account, forfeiture of funds, and potential reporting to relevant authorities. We reserve the right to share verification information with third-party service providers for compliance purposes.

6.3 Bonus Funds

Promotional bonuses are non-cashable and subject to specific wagering requirements and expiration.

6.4 Chargebacks and Disputes

Initiating unwarranted chargebacks is a breach and may result in account termination and debt collection.

6.5 Funds and Currency Distinctions

6.5.1 Entry Credits. Purchases made from your Account constitute acquisitions of non-redeemable "Entry Credits." For your convenience, Entry Credits may be displayed in a currency format (for example, prefixed with "$"); however, they are not cash, have no monetary value outside the Platform, and cannot be withdrawn or redeemed for cash. Entry Credits may only be used to enter Contests, are non-transferable, and will not be refunded, except as required by applicable law or other legal obligations.

6.5.2 Prizes and Winnings. When you win a prize in a Contest, if the prize is designated in a currency such as United States Dollars (USD) it is credited to your Account as "Winnings." Winnings may be withdrawn in accordance with this Section and may also be used to fund further Contest entries as described in Section 3.5. Certain Winnings or balances awarded through promotional contests or other promotional offers may be subject to specific playthrough or wagering requirements before they become withdrawable; any such requirements will be disclosed to you at the time of the offer (see Section 6.3). If the prize is a real-world item it will be displayed under your profile with instructions on how to take delivery.

6.5.3 Display of Funds. Entry Credits and Winnings are distinct funds and are subject to different rules. For your convenience, your Account may display a combined balance. Where a combined balance is shown, the breakdown between your withdrawable Winnings and your non-redeemable Entry Credits is made available to you alongside it and in full in your wallet, so that you can always determine how much of your balance is withdrawable.

6.5.4 Withdrawal Eligibility. You may only withdraw Winnings, and only once any applicable playthrough or wagering requirements have been met. Entry Credits can never be withdrawn or converted into withdrawable funds. For example, if you purchase $200 in Entry Credits, enter a Contest costing $50, and win $90 in Winnings, you may withdraw the $90 of Winnings; the remaining $150 in Entry Credits has not been won and may only be used to enter further Contests. We reserve the right to adjust classifications based on our records, and any disputes shall be resolved per Section 9.

6.6 Fees

We will make commercially reasonable efforts to display and explain all applicable fees in connection with the use of the Platform, including all applicable Game and Contest fees, the fees may be expressed as a cost to enter and a total prize payout with the fees being the difference between the cost to enter by the users and the total payout. Note that in addition to any fees charged by PLACEHOLDER Inc. for use of the Platform, you may also be charged for the use of Third-Party Services. Our fees and payment policy may change at any time and from time to time in our sole discretion. As provided above, we contract with one or more third parties to facilitate the processing of fees and payments.

6.7 Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your Winnings. We may report Winnings to tax authorities and withhold amounts where required by applicable law. Nothing in this Agreement or on the Platform constitutes tax advice, and you should consult a qualified tax professional regarding your individual circumstances.

6.8 Free Play, Practice, and Promotional Entries

We may offer free play currencies, practice modes, and promotional free entries. Free play currencies may have names such as pts, coins, or tokens. They have no cash value, are not Entry Credits or Winnings, and may not be withdrawn or transferred; they are used purely to play eligible games or Contests on the Platform.

We may also provide free practice modes (which do not award prizes) and promotional free entries into prize Contests (for example, in return for viewing an advertisement or as a marketing reward). Promotional free entries are provided as a marketing courtesy at our discretion, are not purchased, have no cash value, and may be limited, varied, or withdrawn at any time. Where a promotional free entry results in Winnings, those Winnings are treated as Winnings under this Agreement.

7. Disclaimers and Warranties

7.1 As-Is Basis

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted, error-free, or secure operation.

7.1.1 Beta Mode Disclaimer

The Platform, games and contests are all in beta mode and is provided for testing and evaluation purposes only. By accessing or using the Platform, you acknowledge and agree that it may contain bugs, errors, incomplete features, or other issues that could affect functionality, performance, or security. You participate at your own risk and without recourse against us for any losses, damages, or inconveniences arising from such issues. We make no representations or warranties regarding the Platform's suitability for any purpose during beta, and we may modify, suspend, or discontinue the beta at any time without notice or liability. Your feedback during beta is appreciated but does not create any obligations on our part.

7.2 Local Laws Disclaimer

You are solely responsible for ensuring your use complies with local laws. If unsure, check applicable rules in your state or country. We disclaim liability for any violations.

7.3 Third-Party Services

We may integrate third-party services (e.g., payment processors). Their use is governed by their terms, and we are not liable for their actions.

8. Limitation of Liability

8.1 Exclusion of Damages

To the maximum extent permitted by law, we, our affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, data, or goodwill, arising from or related to the Platform, even if advised of the possibility.

8.2 Cap on Liability

Our aggregate liability shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim or (b) $100.

8.3 Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including attorneys' fees) arising from your breach of these Terms, violation of laws, or misuse of the Platform.

9. Dispute Resolution and Arbitration

9.1 Governing Law

These Terms are governed by Delaware law, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

9.2 Informal Resolution

Before pursuing formal action, you agree to attempt resolution by sending a detailed Notice of Dispute to support@PLACEHOLDER.com. We will negotiate in good faith for 60 days.

9.3 Binding Arbitration

Any unresolved disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Wilmington, Delaware (or remotely by agreement). The arbitrator's decision is final and binding. You waive the right to a jury trial.

9.4 Class Action Waiver

Disputes must be brought individually; no class, consolidated, or representative actions are permitted. If this waiver is unenforceable, the entire arbitration provision is nullified, and disputes shall be resolved in Delaware state or federal courts.

9.5 Small Claims Option

For claims under $10,000, you may elect small claims court in your county of residence or New Castle County, Delaware.

9.6 Opt-Out

You may opt out of arbitration within 30 days of accepting these Terms by sending notice to support@PLACEHOLDER.com.

9.7 Injunctive Relief

We may seek injunctive relief in court for intellectual property infringement or breaches threatening irreparable harm.

9.8 Limitation Period

Claims must be brought within one year of accrual.

10. Termination

We may terminate these Terms or your access at any time, with or without cause. Upon termination, you must cease use, and any licenses granted end. Sections surviving termination include 4, 5, 7, 8, 9, 11, and any obligations for payment or indemnity.

11. Miscellaneous

11.1 Force Majeure

We are not liable for delays or failures due to events beyond our control (e.g., acts of God, pandemics, cyber-attacks).

11.2 Severability

If any provision is invalid, the remainder remains in effect.

11.3 No Waiver

Failure to enforce any right does not waive it.

11.4 Assignment

We may assign these Terms without your consent; you may not assign without our written consent.

11.5 Entire Agreement

These Terms constitute the entire agreement, superseding prior understandings.
